In 2014, a merger with rival Anhanguera made Kroton Educacional the largest higher education company in the world by market capitalization. For six months, the mergers and acquisitions team at Kroton studied the operation and then prepared a proposal to convince Gabriel Rodrigues, at the time chairman of Anhanguera’s board. “The negotiation of the merger was quite agile, lasting just under a week. The fact that both companies were listed was very important for speeding up the negotiations,” Kroton CEO Rodrigo Galindo recalls.
Kroton and Anhanguera had a geographical reach in common, but more than that, they felt both companies shared values and missions. “We were focused on creating a larger and more efficient company that was responsible for improving people’s lives through responsible education and preparing citizens to be great professionals in the market,” Galindo said.
Still, before it became operational, the merger had to weather a major storm. The Brazilian antitrust agency took longer than expected to approve the deal. “During the process, the companies had different levels of operating performances, which significantly decoupled the prices of the two stocks,” Galindo said. “This price shift required a revision of the share exchange …
